Terms of Service
Effective Date: January 1, 2026
These Terms of Service ("Terms") govern access to and use of the LineIntel Platform by any organization or authorized user ("Customer," "you," or "your").
By accessing or using the Platform, you agree to these Terms.
1. Services Provided
LineIntel provides:
- Vegetation risk analytics
- Infrastructure condition assessment tools
- AI-assisted geospatial analysis
- Work order management tools
- Drone imagery integration (where applicable)
Services are provided under applicable agreements, proposals, or contracts.
2. Authorized Use
The Platform is intended solely for lawful infrastructure management purposes.
Customer agrees to:
- Use the Platform only for authorized operational activities
- Maintain confidentiality of login credentials
- Ensure users are authorized personnel
Customer is responsible for all activity under its accounts.
3. Data Ownership
Customer retains ownership of all:
- Uploaded datasets
- Imagery
- GIS files
- Infrastructure records
LineIntel retains ownership of:
- Platform software
- Algorithms
- AI models
- System architecture
- Proprietary analytics methods
Nothing herein transfers intellectual property rights to Customer except as expressly granted.
4. Confidentiality
Both parties agree to treat non-public business, operational, and technical information as confidential.
Confidential information shall not be disclosed except:
- To authorized personnel
- As required by law
- With written consent
5. Security Responsibilities
LineIntel will implement commercially reasonable safeguards to protect Customer data.
Customer is responsible for:
- Proper internal access controls
- Securing its devices and credentials
- Compliance with applicable infrastructure security policies
6. Compliance With Law
Customer agrees to comply with all applicable:
- Federal regulations
- State regulations
- Utility commission requirements
- Data protection laws
LineIntel does not provide regulatory compliance certification unless explicitly stated in writing.
7. Service Availability
LineIntel does not guarantee uninterrupted or error-free service.
Maintenance, upgrades, or unforeseen outages may occur.
8. Limitation of Liability
To the maximum extent permitted by law, LineIntel shall not be liable for indirect, incidental, consequential, or special damages, including:
- Lost revenue
- Operational downtime
- Regulatory penalties
- Third-party claims
Total liability shall not exceed fees paid by Customer in the preceding 12 months.
9. Indemnification
Customer agrees to indemnify and hold harmless LineIntel from claims arising from:
- Misuse of the Platform
- Unauthorized access caused by Customer negligence
- Violation of applicable law
10. Termination
Either party may terminate access:
- Pursuant to contract terms
- For material breach
Upon termination, access credentials will be disabled and data handling will follow the Privacy Policy and contractual terms.
11. Governing Law
These Terms shall be governed by the laws of the State of Tennessee, without regard to conflict-of-law principles.
12. Modifications
LineIntel reserves the right to modify these Terms at any time. Continued use of the Platform following notice of any modification constitutes acceptance of the updated Terms.
